1. Agreement to Terms

By accessing or using YouPassly (https://youpassly.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not access or use our web services, mobile pass generation APIs, or merchant dashboard.

2. Service Description

YouPassly provides a cloud-based software platform enabling merchants and businesses to generate, distribute, manage, and track native mobile wallet loyalty cards (Apple Wallet and Google Wallet), deliver lock-screen proximity messages via geofencing, and utilize Point-of-Sale (POS) check-in terminals.

3. Account Registration & Google Authentication

To access merchant features, you authenticate via Google OAuth Single Sign-On. You represent that the information provided through your Google account is accurate, current, and belongs to you. You are solely responsible for safeguarding your authentication credentials and for all activities conducted under your store account.

4. Acceptable Use Policy

You agree not to use YouPassly to:

• Generate misleading, fraudulent, defamatory, or deceptive membership cards or reward schemes.
• Transmit unsolicited push notifications, spam, or unlawful promotional broadcasts to consumer lock-screens.
• Interfere with, intercept, or reverse-engineer the integrity of our API endpoints or databases.
• Violate Apple Wallet or Google Wallet developer policies and trademark guidelines.

5. Subscriptions, Fees & Commercial Licenses

Certain features are subject to commercial plans (e.g., Starter License, Single Channel Pro, Omni Master). Pricing terms, payment gateways (Lemon Squeezy, payOS), and trial durations are disclosed during tier selection. Recurring subscriptions may be canceled at any time prior to the next billing renewal through the merchant dashboard.

6. Intellectual Property

YouPassly and its logos, source code, UI designs, and documentation remain the exclusive intellectual property of the platform developer. Merchant trademarks, brand names, and uploaded visual assets remain the property of the respective merchant.

8. Termination

We reserve the right to suspend or terminate accounts that breach these Terms of Service, engage in fraudulent activities, or abuse platform infrastructure, without prior liability.
